Terms of Service

1. Accounts and eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use. If you create an account on behalf of a business, you represent that you are authorized to bind that business to these Terms.

2. Acceptable use

You agree not to:

• Use the Services in violation of any law or regulation.
• Upload or process data you do not have the right to use, or infringe the intellectual property or privacy rights of others.
• Attempt to gain unauthorized access to the Services, other accounts, or our systems, or interfere with their operation or security.
• Reverse engineer, resell, or use the Services to build a competing product, except as permitted by law.
• Transmit malware, spam, or abusive, fraudulent, or harmful content.

3. Subscriptions, fees, and billing

Paid plans are billed on a per-user basis according to the plan and billing cycle you select, and renew automatically until cancelled. Certain features, add-ons, and usage-based charges (such as SMS messaging) may incur additional fees. Fees are charged in advance and, except where required by law, are non-refundable. We may change pricing with reasonable notice; changes apply to the next billing cycle. You can cancel at any time, and cancellation takes effect at the end of the current billing period. Early termination fees and prorated equipment recovery charges may apply if Client cancels a plan which included provided equipment, discounted pricing, promotional incentives, or additional features or users at reduced rates before the end of the Agreement Term.

4. Payment processing

Card payments collected through the Services are handled by a third-party, PCI-DSS-compliant payment processor and are subject to that processor’s terms. Easyology does not store full payment card numbers. You are responsible for the accuracy of transactions you process and for any chargebacks, refunds, taxes, or disputes arising from your use of the Services.

5. Your data and customer data

You retain ownership of the data you and your staff submit to the Services (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Services. You are responsible for obtaining any consents required to collect and process information about your own customers and for using that information lawfully. Our handling of personal information is described in our Privacy Policy.

6. Intellectual property

The Services, including all software, designs, and content we provide, are owned by Easyology and its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms. All rights not expressly granted are reserved.

7. Third-party services

The Services may integrate with third-party services such as payment processing and messaging providers. We are not responsible for third-party services, and your use of them may be subject to separate terms.

8. Service availability and changes

We work to keep the Services available and reliable, but we do not guarantee uninterrupted access. We may modify, suspend, or discontinue features from time to time. Where a change materially reduces the Services, we will provide reasonable notice where practicable.

9. Suspension and termination

You may stop using the Services and close your account at any time. We may suspend or terminate access if you breach these Terms, fail to pay fees, or use the Services in a way that risks harm to others or to the platform. Following termination, we will make Customer Data available for export for a limited period, after which it may be deleted in accordance with our data retention practices.

10. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Services will be error-free or uninterrupted.

11. Limitation of liability

To the maximum extent permitted by law, Easyology will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Services will not exceed the amounts you paid us for the Services in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold Easyology harmless from claims, damages, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Services, or your breach of these Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Texas, except where applicable law provides otherwise.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, make reasonable efforts to provide additional notice through the Services. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
